1. Acceptance
These Terms & Conditions ("Terms") govern your access to and use of Unimanage software, website, and related services (the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.
2. Accounts & Eligibility
- Account owners must be legally capable of entering into contracts.
- You are responsible for maintaining the confidentiality of login credentials and all activities under your account.
- Provide accurate, current, and complete information and keep it updated.
3. License & Use
We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business operations. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.
4. Acceptable Use
- No unauthorized access, probing, or load testing without consent.
- No misuse that violates applicable laws or infringes third-party rights.
- No transmission of malware, spam, or illegal content.
5. Fees, Billing & Refunds
- Fees and plan features are described on our Pricing page or in your order form.
- Invoices are due as stated; late payments may incur interest or suspension.
- Unless stated otherwise, fees are non-refundable once the subscription term begins.
- Taxes, if any, are your responsibility based on your billing location.
6. Term & Termination
- These Terms remain in effect while you use the Services.
- Either party may terminate for material breach if not cured within a reasonable notice period.
- Upon termination, your access ends and we will handle your data per our Privacy Policy and data export options.
7. Data Ownership & Privacy
You own your Customer Data. We process it solely to provide the Services, as described in our Privacy Policy. You are responsible for obtaining all necessary consents from your end users and complying with applicable laws.
8. Third-Party Services
The Services may interoperate with third-party tools (e.g., payment gateways, email). We are not responsible for such third-party services, and their terms and privacy policies apply when you use them.
9. Support & Availability
We strive for high availability and timely support. Planned maintenance will be communicated in advance where feasible. Specific SLAs, if any, will be outlined in your order form.
10. Disclaimers
Except as expressly stated, the Services are provided on an "as is" and "as available" basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, in no event shall Unimanage be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business interruption. Our total liability for any claim shall not exceed the amounts paid by you for the Services in the twelve (12) months preceding the event.
12. Indemnity
You agree to indemnify and hold Unimanage harmless from any claims, damages, or expenses arising out of your use of the Services, breach of these Terms, or violation of applicable laws or third-party rights.
13. Confidentiality
Each party agrees to keep the other party’s Confidential Information confidential and to use it only as necessary to perform obligations under these Terms.
14. Intellectual Property
All intellectual property rights in the Services and related materials are owned by Unimanage or its licensors. No rights are granted except as expressly stated in these Terms.
15. Publicity & Feedback
We may use your name and logo in our customer lists and marketing materials unless you notify us in writing to opt out. Any feedback you provide may be used by us to improve the Services without obligation or compensation.
16. Governing Law & Disputes
These Terms are governed by the laws of India. Courts located in Kanpur, Uttar Pradesh (or another mutually agreed jurisdiction) shall have exclusive jurisdiction, subject to applicable law. Parties will first attempt to resolve disputes amicably through good-faith negotiations.
17. Changes
We may modify these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
